1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and iPlex Technologies ("Company," "we," "us," "our") governing your access to and use of the Guard360 platform, including the web application, mobile application, and related services (collectively, the "Service").

By registering for an account, accessing, or using Guard360, you represent that:

• You are at least 18 years of age.
• You have the legal authority to enter into this agreement on behalf of yourself or your organisation.
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Definitions

• "Platform" — the Guard360 web application and mobile application.
• "Client" — the security company or organisation that subscribes to Guard360.
• "Admin User" — personnel authorised by the Client to manage the Guard360 dashboard.
• "Guard User" — individual security guards who use the Guard360 mobile app.
• "Subscription" — a paid or trial plan granting access to Guard360 features.
• "Guard Data" — attendance records, patrol logs, incident reports, location data, and any other data generated through use of the Platform by or about Guard Users.
• "Content" — text, images, data, reports, and other information uploaded, submitted, or transmitted through the Platform.

3. Description of Service

Guard360 is a B2B Security Guard Management Platform that provides:

• GPS-based attendance check-in and check-out with geofence verification
• Face-photo verification at check-in
• QR code-based patrol checkpoint scanning and logging
• Incident reporting and management
• Real-time admin dashboard with attendance, patrol, and incident reports
• Leave management, shift scheduling, and payroll reporting
• Manual override and audit trail functionality

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

4. Account Registration & Responsibilities

4.1 Account Creation

To use Guard360, the Client must register an account and provide accurate, complete information. The Client is responsible for maintaining the accuracy of this information.

4.2 Account Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately at info@iplextechnologies.com if you suspect unauthorised access to your account.
• We are not liable for any loss resulting from unauthorised account access where you failed to keep credentials secure.

4.3 Client Responsibilities for Guard Users

• The Client is responsible for informing its guard employees that Guard360 is being used to track attendance, patrol activity, and location at check-in/check-out events.
• The Client must obtain all necessary consents from its employees as required by applicable Indian labour law and data protection regulations before enrolling them on Guard360.
• The Client is solely responsible for all actions taken by Admin Users and Guard Users under its account.

5. Acceptable Use

You agree to use Guard360 only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service for any purpose that is unlawful, harmful, or fraudulent.
• Falsify, manipulate, or tamper with attendance records, patrol logs, or any other data on the Platform.
• Attempt to gain unauthorised access to other accounts, systems, or networks connected to Guard360.
• Reverse-engineer, decompile, or attempt to extract the source code of the Guard360 application.
• Resell, sublicense, or otherwise transfer access to Guard360 to any third party without written consent from iPlex Technologies.
• Use Guard360 to monitor employees in a manner that violates applicable law or exceeds the scope disclosed to those employees.
• Upload malware, viruses, or any code designed to disrupt or damage the Platform.
• Use automated bots or scripts to interact with the Platform in ways not intended by its design.

We reserve the right to suspend or terminate accounts found in violation of this section, without prior notice and without refund.

6. Subscription, Billing & Payment

6.1 Subscription Plans

Guard360 is offered under subscription plans as displayed on our Pricing page. Plan features and limits are subject to change with 30 days' notice.

6.2 Free Trial

We may offer a free trial period. At the end of the trial, a subscription is required to continue using the Service. We reserve the right to limit or end free trial offers at any time.

6.3 Payment

• Subscription fees are billed in advance on a monthly or annual basis.
• All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST).
• Payment is processed via our authorised payment gateway. We do not store your card details.
• Failure to pay on time may result in suspension of your account after a 7-day grace period.

6.4 Refund Policy

Subscription fees are non-refundable except where required by law. If you believe you have been charged in error, contact us within 14 days of the charge at info@iplextechnologies.com.

6.5 Price Changes

We may change subscription pricing with at least 30 days' written notice. Your continued use after the notice period constitutes acceptance of the new pricing.

7. Intellectual Property

7.1 Our IP

Guard360, including its software, design, trademarks, logos, and all related materials, is the exclusive intellectual property of iPlex Technologies and is protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any ownership rights in Guard360.

7.2 Your Content

You retain ownership of all Content (guard data, reports, incident records) that you upload or generate through Guard360. By using the Service, you grant iPlex Technologies a limited, non-exclusive licence to store, process, and display your Content solely for the purpose of providing the Service to you.

7.3 Feedback

If you submit suggestions, ideas, or feedback about Guard360, you grant us the right to use such feedback without restriction or compensation.

8. Data & Privacy

Your use of Guard360 is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

• iPlex Technologies acts as a data processor for Guard Data on behalf of the Client (data controller).
• The Client is responsible for the lawful basis of collecting and processing guard employee data through the Platform.
• We implement appropriate technical and organisational measures to protect your data as described in the Privacy Policy.
• In the event of termination, we will provide a data export upon request within 30 days and then securely delete your data subject to legal retention requirements.

9. Disclaimers & Warranties

Guard360 is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, iPlex Technologies expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Service will be uninterrupted, error-free, or completely secure.
• Warranties regarding the accuracy or completeness of any content or data on the Platform.

GPS location accuracy depends on device hardware and network conditions. Face verification accuracy depends on photo quality and lighting. Guard360 is a management tool and does not guarantee 100% prevention of attendance fraud.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, iPlex Technologies and its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, business, or goodwill.
• Damages arising from unauthorised access to or alteration of your data.
• Any matter beyond our reasonable control (force majeure).

In all cases, our total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to iPlex Technologies in the three (3) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless iPlex Technologies and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms.
• Your violation of any applicable law or regulation, including employment law and data protection law.
• Your Content or your use of the Service.
• Any claim by a Guard User arising from your failure to obtain required consents or to inform them of surveillance and monitoring activities.

12. Termination

12.1 Termination by You

You may cancel your subscription at any time by contacting us at info@iplextechnologies.com. Cancellation takes effect at the end of the current billing period. No refunds are issued for the remaining period.

12.2 Termination by Us

We may suspend or terminate your account immediately, without notice or refund, if:

• You breach these Terms or our Acceptable Use Policy.
• Your account remains unpaid after the grace period.
• We are required to do so by law or regulation.
• We determine that your use poses a risk to the security or integrity of the Platform or other users.

12.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days post-termination, during which you may request an export. After this period, data will be deleted in accordance with our Privacy Policy.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.

14. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page.
• Notify Client admins via email at least 14 days before changes take effect.
• Display a notice on the Guard360 dashboard.

Your continued use of Guard360 after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.
